Model of Organization Legislative Decree 231/2001

Since 1 November 2017 Mifar S.r.l. has decided to provide itself with a Model of Organization, Management and Control compliant to the principles of Legislative Decree 231/2001, which regulates the administrative liability of offenses against bodies, companies and associations having legal entity form. A firmly pursued decision, aimed to diffuse to Mifar stakeholders:

• An enterprise culture based on legality, honesty and transparency
• A culture of control
• A sustainable, organized management system of health and safety at workplace and of safeguard of the natural environment
• An organizational system designed to ensure the separation of tasks, roles and responsibilities between the operational and control functions, as well as maximum entrepreneurial efficiency

The Model has been developed on the basis of the structure and activity of Mifar S.r.l., taking into account the nature and the size of its organization perfectly integrated with the existing control and governance system. Mifar S.r.l. has proceeded to the identification of sensitive activities where it is possible that the offences comprised in the Decree may occur, and then defined the control procedures and the principles and rules of prevention. For this reason, the Board of Directors has entrusted to a Supervisory Board (OV), which has autonomous powers of initiative and control, to supervise the operation other than the effectiveness and observance of the Model itself. The dedicated account odv@mifar.com was activated for reporting to the OV.

An integral part of the Model of Organization, Management and Control is the Code of Ethics approved by Mifar S.r.l., which contains the principles of behavior and the ethical and social values that must inspire the regular conduct of business activities.
